END-USER LICENSE AGREEMENT

INTRODUCTION
By ordering ChoreoTech product, you are agreeing to terms of this license agreement. This end-user license agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Redwood Operations Corp. ("Redwood") for the software product ChoreoTech that accompanies this EULA, which includes computer software and musical score (score) and may include associated media, printed materials, "online" or electronic documentation, and creative content ("software"). An amendment or addendum to this EULA may accompany the software.

DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
Redwood reserves all rights not expressly granted to you in this EULA. The software and score are protected by copyright and other intellectual property laws and treaties. Redwood or its suppliers own the title, copyright, and other intellectual property rights in the software and score.

GRANT OF LICENSE
Redwood grants you permission to only view the software disc (“DVD”) and to use the score provided that you agree to and accept without modification the terms and conditions set forth in this EULA. The terms and conditions of this Agreement apply to all DVD and score copies, as well as to any other associated materials.

You may not copy, rent, lease, sub-license, time-share, lend, or transfer the score, software, software or score copies, related materials or your rights under this license.

You may not reverse engineer, decompile, or disassemble the software.

You may not remove or obscure any copyright or trademark notices.

The export and re-export of Redwood software or score products are controlled by the United States Export Administration Regulations and such may not be exported or re-exported to Cuba, Iran, Iraq, Libya, North Korea, Sudan, Syria, or any country to which the United States embargoes goods. In addition, Redwood software or score may not be distributed to persons on the Table of Denial Orders, the Entity List, or the List of Specially Designated Nationals.

By using a Redwood software or score product you are certifying that you are not a national of Cuba, Iran, Iraq, Libya, North Korea, Sudan, Syria, or any country to which the United States embargoes goods and that you are not a person on the Table of Denial Orders, the Entity List, or the List of Specially Designated Nationals.

RESERVATION OF RIGHTS AND OWNERSHIP
Redwood reserves all rights not expressly granted to you in this EULA. The software and score are protected by copyright and other intellectual property laws and treaties. Redwood owns the title, copyright, and other intellectual property rights in the software and score.

DISCLAIMER OF WARRANTIES
YOU AGREE THAT REDWOOD HAS MADE NO EXPRESS WARRANTIES TO YOU REGARDING THE SOFTWARE AND THAT THE SOFTWARE IS BEING PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND. REDWOOD DISCLAIMS ALL WARRANTIES WITH REGARD TO THE SOFTWARE, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, MERCHANTABLE QUALITY, OR NONINFRINGEMENT OF THIRD-PARTY RIGHTS. Some states or jurisdictions do not allow the exclusion of implied warranties, so the above limitations may not apply to you.

LIMIT OF LIABILITY
IN NO EVENT WILL REDWOOD BE LIABLE TO YOU FOR ANY LOSS OF USE, INTERRUPTION OF BUSINESS, OR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT PRODUCT LIABILITY, OR OTHERWISE, EVEN IF REDWOOD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some states or jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

This license may only be modified in a written amendment signed by an authorized REDWOOD officer. If any provision of this AGREEMENT shall be found to be unlawful, void, or for any reason unenforceable, it shall be deemed severable from, and shall in no way affect the validity or enforceability of, the remaining provisions of this agreement. This agreement shall be governed by New York law. You acknowledge that you have read every provision of this agreement.

U.S. GOVERNMENT RESTRICTED RIGHTS
The software, software copies, score and related materials are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subdivision (c)(1)(ii) of the Rights in Technical Data and Computer Software Clause at 48 CFR 252.227-7013. Contractor/Manufacturer is REDWOOD.
